Terms of Service

Last updated: 2026-09-23

This Agreement consists of these Terms of Service and the Common Paper Cloud Service Agreement Standard Terms Version 1.1, which is incorporated by reference. If there is any inconsistency, these Terms will control. Capitalized words have the meanings given on this page or in the Standard Terms.

Cloud Service

Ecbot is a customer-conversation automation platform built for Southeast Asia. It connects to messaging and commerce channels — including Facebook Messenger, Instagram, Zalo Official Account, TikTok Shop, and Shopee — and lets Customer build AI agents and automations that read, triage, and reply to conversations, manage orders, and perform actions across connected accounts.

The Product has different pricing plans, which are available at Provider’s pricing page. Customer will pay Provider the applicable Fees based on the Product tier and Customer’s usage. Provider may update Product pricing with reasonable notice to Customer (including by email or notification within the Product), and the change will apply in the next billing cycle.

PaymentCustomer will be billed automatically based on their selected plan. Payments are processed via VNPay, Momo, Sepay, or Payos, depending on the payment method Customer selects during checkout. All amounts are charged in Vietnamese Dong (VND) unless otherwise stated.
CancellationCustomer may cancel their subscription at any time. Access continues until the end of the current billing period.
Technical SupportEmail support at support@ecbot.dev. Enterprise customers receive priority support with dedicated onboarding and a shared channel (Zalo, Slack, or Microsoft Teams).

SLA

Provider will use commercially reasonable efforts to provide and maintain the Cloud Service without excessive errors and interruptions. If Provider does not meet the SLA in two consecutive months or over three months in any 12-month period, then Customer may, as its only remedy, terminate the subscription upon notice and receive a prorated refund of prepaid fees for the remainder of the billing period.

Acceptable Use

Restrictions on Customer

Except as expressly permitted by this Agreement, Customer will not (and will not allow anyone else to):

  • Reverse engineer, decompile, or attempt to discover any source code or underlying algorithms of the Product (except to the extent applicable laws prohibit this restriction).
  • Provide, sell, transfer, sublicense, lend, distribute, rent, or otherwise allow others to access or use the Product.
  • Remove any proprietary notices or labels.
  • Copy, modify, or create derivative works of the Product.
  • Conduct security or vulnerability tests on, interfere with the operation of, cause performance degradation of, or circumvent access restrictions of the Product.
  • Access accounts, information, data, or portions of the Product to which Customer does not have explicit authorization.
  • Use the Product to develop a competing service or product.
  • Use the Product with any high-risk activities (where failure could lead to death, bodily injury, or environmental damage) or activity prohibited by applicable laws.
  • Use the Product to obtain unauthorized access to anyone else’s networks or equipment.
  • Upload or submit any Customer Content to which Customer and its users do not have the proper rights.
  • Use the Product to send unsolicited bulk messages (“spam”), engage in deceptive marketing, impersonate any person or business, or otherwise breach the policies of any connected platform (including Meta’s Messenger Platform Policy, Instagram Platform Policy, Zalo Official Account policies, TikTok Shop and TikTok for Business policies, and the Shopee Open Platform Terms).
  • Use the Product to facilitate gambling, sale of restricted or counterfeit goods, sale of regulated pharmaceuticals or controlled substances, or other activity prohibited by Vietnamese law or the laws of the country where Customer or its end users are located.

Prohibited Data

Customer will not submit the following categories of data to the Product unless explicitly authorized in writing:

  • Patient, medical, or other protected health information.
  • Credit, debit, bank account, or other financial account numbers, e-wallet credentials, or one-time passwords.
  • National identity numbers (for example Vietnamese CCCD/CMND, Singapore NRIC/FIN, Indonesian NIK, Thai national ID, Philippine PhilSys, Malaysian MyKad), driver’s license numbers, passport numbers, or other government-issued ID numbers.
  • “Sensitive personal data” as defined in Article 2.4 of Vietnam Decree 13/2023/ND-CP, and analogous special categories of data under other applicable laws (including GDPR Article 9, Singapore PDPA sensitive data, Indonesia UU PDP “specific personal data”, and Thailand PDPA sensitive data).

Suspension

Provider may temporarily suspend Customer’s access to the Product if Customer (a) has an outstanding, undisputed balance for more than 30 days after the payment period; (b) breaches the restrictions above; (c) uses the Product in a way that materially and negatively impacts the Product or others; or (d) receives a takedown, policy violation, or enforcement notice from a connected platform (Meta, Zalo, TikTok, Shopee, etc.) that materially affects Provider’s ability to operate. Provider will try to inform Customer before suspending access when practical, and will reinstate access once the underlying issue is resolved.

Fair Usage and Trial Limits

Provider offers free trials so that prospective Customers can evaluate the Product. The standard trial period is 7 days, which Customer may extend once for an additional 7 days (up to 14 days total), subject to usage limits that Provider communicates at signup and may update from time to time.

Trial Restrictions

A trial is intended to be used once per individual, workspace, and organization. Customer will not (and will not allow anyone else to):

  • Create multiple accounts under different email addresses, aliases, alternate domains, separate workspaces, or affiliated entities for the purpose of obtaining additional trial periods, additional usage credits, or otherwise circumventing trial limits.
  • Bypass, reset, or extend trial limits beyond what Provider grants, including by signing up with disposable or plus-addressed emails, using multiple corporate or personal domains for the same underlying business, deleting and recreating accounts or workspaces to reset usage, or using automation to provision new trials.
  • Use trial accounts for purposes other than genuine evaluation of the Product, including running production workloads, reselling or repackaging Provider’s services, or extracting bulk outputs without intent to subscribe.

Enforcement

If Provider reasonably determines that an account, group of accounts, or organization is abusing this section, Provider may, at its discretion and without prior notice: pause or terminate the affected trial or trials; require conversion to a paid plan to continue access; consolidate related accounts; recover any costs incurred from abusive usage; or restrict the user, domain, or organization from future trials.

Extension Requests

If Customer has a legitimate reason for needing additional trial time or higher usage limits, please contact Provider at support@ecbot.dev. Failure to engage with Provider in a timely manner is not a legitimate reason for an extension.

Connected Platform Compliance

The Product depends on third-party messaging and commerce platforms (“Connected Platforms”). Customer is responsible for:

  • Maintaining its own account and good standing on each Connected Platform (Facebook Page, Instagram Business Account, Zalo Official Account, TikTok Shop, Shopee Shop, etc.) and for granting Provider only the OAuth scopes needed to deliver the Service.
  • Complying with each Connected Platform’s developer, commerce, advertising, and messaging policies — including messaging windows (for example Meta’s 24-hour standard messaging window and message tag rules, Zalo OA messaging quotas), opt-in requirements, and content restrictions.
  • Honoring end-user opt-outs and unsubscribe requests within the timeframes required by applicable law (including Vietnam’s Decree 91/2020/ND-CP on spam advertising messages, Singapore’s PDPA Do Not Call rules, and Thailand’s PDPA marketing consent rules).

Customer acknowledges that Connected Platforms may change their APIs, policies, fees, or availability at any time, and that such changes are outside Provider’s control. Provider is not liable for loss of functionality caused by Connected Platform changes, suspensions, or rate limits.

Termination & Data Deletion

Subscription Renewal

Subscriptions automatically renew at the end of each billing period unless Customer cancels before the renewal date. Customer may cancel at any time through their account settings or by contacting Provider.

Termination for Cause

Either party may terminate this Agreement if the other party:

  • Fails to cure a material breach within 30 days after receiving notice.
  • Materially breaches the Agreement in a manner that cannot be cured.
  • Dissolves or stops conducting business without a successor.
  • Makes an assignment for the benefit of creditors.
  • Becomes the debtor in insolvency, receivership, or bankruptcy proceedings that continue for more than 60 days.

Effect of Termination

Upon expiration or termination:

  • Customer will no longer have any right to use the Product.
  • Upon Customer’s request, Provider will delete Customer Content within 60 days, except where retention is required by applicable law (including accounting and tax records, which Vietnamese law generally requires to be retained for at least 10 years).
  • Each party will return or destroy the other party’s confidential information.

Disclaimer of Warranties

Provider makes no guarantees that the Product will always be safe, secure, or error-free, or that it will function without disruptions, delays, or imperfections. The warranties in this Agreement do not apply to any misuse or unauthorized modification of the Product, nor to any product or service provided by anyone other than Provider, including Connected Platforms and AI model providers.

Except for the express warranties stated in this Agreement, Provider and Customer each disclaim all other warranties, whether express or implied, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. These disclaimers apply to the maximum extent permitted by applicable law.

Limitation of Liability

Liability Cap

Each party’s total cumulative liability for all claims arising out of or relating to this Agreement will not exceed the General Cap Amount (1.0 times the fees paid or payable by Customer to Provider in the 12-month period immediately preceding the claim).

Consequential Damages Waiver

Under no circumstances will either party be liable to the other for lost profits or revenues, or for consequential, special, indirect, exemplary, punitive, or incidental damages relating to this Agreement, even if the party is informed of the possibility of such damages in advance.

Exceptions

The liability cap and damages waiver do not apply to: (a) a party’s indemnification obligations for Covered Claims; (b) a party’s breach of confidentiality obligations; or (c) either party’s willful misconduct.

Security Policy

Provider will use commercially reasonable efforts to secure the Cloud Service from unauthorized access, alteration, or use and other unlawful tampering.

Insurance

Provider intends to maintain commercial general liability, professional liability (errors and omissions), and cyber liability insurance coverage appropriate to its stage of operation. Details are available upon request for Enterprise customers.
